Reference is made to:

(a) the Term Loan Credit Agreement, dated as of May 8, 2014, by and among Ypso France S.A.S. (“Ypso”), Altice France S.A. (“Altice France” and, together with Ypso, the “French Borrowers”), Numericable U.S. LLC (the “U.S. Borrower” and, together with the French Borrowers, the “Borrowers”), the Lenders party thereto from time to time, the Administrative Agent, Deutsche Bank AG, London Branch, as security agent, and the other parties thereto from time to time  (as amended, restated, modified or supplemented from time to time, the “Credit Agreement”);  

(b) the intercreditor agreement dated May 8, 2014 between, among others, Numericable Group S.A. as the Company and Deutsche Bank AG, London Branch as Security Agent (the “Intercreditor Agreement”); and 

(c) an amendment request letter sent from the Company to the Administrative Agent dated 23 May 2025 (the “Amendment Request Letter”).

Terms not defined herein shall have the same meaning as that set out in the Amendment Request Letter, the Credit Agreement and/or the Intercreditor Agreement as applicable.

In our capacity as Investment Manager of our funds that are registered as Senior Bank Lender under the Intercreditor Agreement, we hereby authorise the Administrative Agent and the Security Agent, as required, to execute the ICA Amendment Deed as the Senior Bank Representative in respect of the Original Term Loan Facility Agreement.
